STATUTE OF THE NON-GOVERNMENTAL ORGANIZATION
"International Women's Association Woman's Code: Ukrainian"
1. GENERAL PROVISIONS
1.1. The non-governmental organization "International Women's Association Woman's Code: Ukrainian" (hereinafter - the Organization) is a voluntary association of individuals created to exercise and protect human and civil rights and freedoms, and to satisfy the public, in particular economic, social, cultural, educational, and other interests of its members and/or other persons.
1.2. Name of the Organization:
Full – Non-Governmental Organization "International Women's Association Woman's Code: Ukrainian".
Short – NGO "Woman's Code: Ukrainian".
1.3. In its activities, the Organization is guided by the Constitution of Ukraine, the Civil Code of Ukraine, the Tax Code of Ukraine, the Law of Ukraine "On Public Associations", the Law of Ukraine "On State Registration of Legal Entities, Individual Entrepreneurs and Public Formations", other current legislation of Ukraine, and this Statute. The legal basis of the Organization's activities also includes regulatory documents and general decisions adopted by the Organization within its statutory powers, which are binding on all members.
1.4. The Organization is a non-entrepreneurial society, the main purpose of which is not to generate profit. The Organization is free to choose the directions of its activities and acts on the principles of voluntariness, self-government, free choice of the territory of activity, equality before the law, absence of property interest of its members, transparency, openness, and publicity.
1.5. The Organization operates on the territory of Ukraine.
2. LEGAL STATUS OF THE ORGANIZATION
2.1. The activities of the Organization are public in nature, which is manifested in its interaction with state authorities, local governments, enterprises, institutions, organizations of various forms of ownership, and the establishment of partnerships with other public organizations, movements, funds registered in Ukraine or abroad, citizens of Ukraine, foreigners and/or stateless persons.
2.2. The Organization acquires the status of a legal entity from the moment of its state registration in accordance with current legislation, has its own seal, stamps, and letterheads with its name, and accounts in banking institutions. The Organization may have its own symbols (emblem, other identifying mark, flag), which is subject to registration as prescribed by law.
2.3. From the moment of state registration, the Organization has the exclusive right to use its name, including the name set forth in a foreign language or minority language.
2.4. To achieve its goal and fulfill statutory tasks, the Organization has the right to:
2.4.1. Be a participant in civil legal relations, acquire property and non-property rights in accordance with the law.
2.4.2. Represent and protect its legitimate interests and the legitimate interests of its members or other persons in any state authorities, including courts, law enforcement agencies, local governments, at enterprises, institutions, and organizations of all forms of ownership.
2.4.3. Freely disseminate information about its activities, promote its goals.
2.4.4. Ideologically and organizationally support other citizens' associations, provide assistance in their creation and activities.
2.4.5. Publish scientific and methodological results of the Organization's activities; conduct awareness-raising work.
2.4.6. Receive public information in the possession of subjects of power and other administrators of public information, as prescribed by law.
2.4.7. Participate in organizing and financing, as well as independently hold conferences, seminars, competitions, lectures, round tables, consultations, creative events, tournaments, and other events related to the Organization's statutory activities, involving representatives of the public, state and local authorities, and experts from various fields, including international.
2.4.8. Receive assistance in the form of funds or property coming free of charge as membership fees, irrevocable financial assistance, donations, grants, and independently decide on their use in accordance with this Statute and Ukrainian law.
2.4.9. Carry out necessary entrepreneurial activities directly or by creating legal entities as prescribed by law, if such activity meets the goals of the Organization and contributes to its achievement.
2.4.10. Participate in the implementation of state regulatory policy according to Ukrainian law.
2.4.11. Apply to state authorities, local governments, their officials, and officers with proposals, statements, and complaints as prescribed by law.
2.4.12. Receive necessary public information for realizing its goals and tasks from subjects of power.
2.4.13. Participate in developing draft normative-legal acts issued by state authorities and local governments regarding the Organization's sphere of activity.
2.4.14. Participate in the work of advisory and other auxiliary bodies created by state authorities for consulting with public associations.
2.4.15. Maintain direct international contacts with citizens' organizations of other countries, conclude relevant agreements, and participate in international events.
2.4.16. Establish media outlets to achieve statutory goals.
2.4.17. Create and implement various projects and programs.
2.4.18. Voluntarily participate in or found public unions, including international ones, and conclude agreements on cooperation.
2.4.19. Receive buildings, equipment, vehicles, and other property necessary for statutory tasks on lease or temporary free use.
2.4.21. Open accounts in national and foreign currencies in banking institutions.
2.4.22. Establish awards to honor members and partners.
2.4.23. Be an executor of the state order directly or through created legal entities.
2.4.24. Enjoy other rights provided by Ukrainian legislation.
2.5. The Organization is liable for its obligations with the property belonging to it. The Organization is not liable for the obligations of its members, and its members are not liable for the obligations of the Organization, unless they assume such obligations.
3. GOAL AND DIRECTIONS OF ACTIVITY
3.1. The main goal of the Organization is to support and open opportunities for the self-realization of every woman, creating a favorable environment for development.
3.2. The main directions of the Organization's activity are:
3.2.1. helping women;
3.2.2. creating a space for support and inspiration;
3.2.3. protecting and raising children;
3.2.4. ensuring children's development;
3.2.5. assisting women in their striving for independence;
3.2.6. organizing master classes and trainings, holding lectures;
3.2.7. organizing access to online courses and resource libraries for self-study;
3.2.8. creating a platform for communication and interaction where participants can share stories and experiences;
3.2.9. organizing networking meetings and events;
3.2.10. strengthening cooperation with state bodies and international institutions;
3.2.11. involving experts of the necessary training profile.
4. PROCEDURE FOR ACQUIRING AND TERMINATING MEMBERSHIP, RIGHTS AND OBLIGATIONS OF MEMBERS
4.1. Membership in the Organization is voluntary and individual.
4.2. Members of the Organization can be citizens of Ukraine, foreigners, and stateless persons legally residing in Ukraine, who have reached 18 years of age, recognize the Statute, and contribute to activities aimed at achieving the Organization's goals.
4.3. No one can be forced to join the Organization. Belonging or not belonging to the Organization cannot be a ground for restricting rights and freedoms or granting any privileges by state authorities.
4.4. Admission to members is carried out on the basis of a written application to the Head by the decision of the Head, taken within a month. The Head has the right to refuse admission. The Head can delegate this right to separate subdivisions or other statutory bodies.
4.5. All members are equal in exercising their rights and obligations.
4.5.1. The rights of a member include:
4.5.1.1. electing and being elected to governing bodies, participating in all events;
4.5.1.2. participating in the work of permanent and temporary commissions;
4.5.1.3. addressing inquiries and proposals to the Organization's bodies and receiving answers;
4.5.1.4. appealing decisions, actions, and inaction of governing bodies, submitting applications and complaints, and demanding their consideration at the General Assembly;
4.5.1.5. appealing General Assembly decisions to court;
4.5.1.6. receiving information on the Organization's activities;
4.5.1.7. applying to the Organization's bodies for help in protecting rights and legitimate interests;
4.5.1.8. freely advocating ideas and proposals on issues discussed in the Organization before decisions are made;
4.5.1.9. freely leaving the Organization upon written application.
4.5.2. Members are obliged to:
4.5.2.1. comply with the provisions of the Statute;
4.5.2.2. implement decisions of governing bodies;
4.5.2.3. timely pay admission and membership fees in amounts set by the Head;
4.5.2.4. promote the realization of the Organization's tasks;
4.5.2.5. participate in public events held by the Organization.
4.6. Membership is terminated in cases of:
4.6.1. voluntary exit;
4.6.2. expulsion by the Head's decision due to violation of the Statute, or if the member's activity contradicts the Organization's goals, or if the member lost contact without a valid reason, or for systematic non-payment of fees;
4.6.3. death of a member.
4.7. Exit is carried out by a written application to the Head. Membership is terminated from the day the application is submitted.
4.8. Grounds for expulsion:
– repeated violations of the Statute;
– non-participation in activities personally or through a representative for at least 12 months;
– non-payment of membership fees over the last year.
4.9. The issue of expulsion is decided by the Head.
4.10. A member has no voting right when the General Assembly decides on a transaction with them or a dispute between them and the Organization.
5. GOVERNING BODIES OF THE ORGANIZATION
5.1. The management of the Organization is carried out on the principles of democracy, openness, electivity of governing bodies, subordination, and executive discipline.
5.2. The governing bodies are: The General Assembly of members and the Head of the Organization.
Meetings of governing bodies can be held either with direct participation or via internet connection using audiovisual online conference programs. The Head decides on the format and notifies members at least 10 days in advance. Any meeting is formalized by a protocol or decision, indicating the format and software used if held online.
5.3. The General Assembly is the supreme body entitled to make decisions on any issues of its activities.
5.3.1. Members participate personally or through an authorized representative. Each member has one vote. The Assembly is authorized if the majority of members are present.
5.3.2. Regular General Assemblies are convened by the Head annually. The decision must be communicated to members at least 30 days before the date.
5.3.3. Extraordinary General Assemblies are convened when circumstances affect significant interests, or as provided by law, within 30 days. Notification must be given at least 14 days in advance.
5.3.4. At least one-tenth of the members have the right to initiate an Extraordinary General Assembly. If not fulfilled by the Head, they can convene it themselves.
5.3.5. The exclusive competence of the General Assembly includes:
5.3.5.1. Determining the main directions of activity, approving plans and reports.
5.3.5.2. Making and approving amendments to constituent documents.
5.3.5.3. Approving samples of seals, stamps, and symbols.
5.3.5.4. Deciding on the termination of the Organization's activities.
5.3.5.5. Electing the liquidation commission, approving the liquidation balance.
5.3.5.6. Electing and recalling the Head.
5.3.5.7. Determining the procedure for exercising ownership rights and control.
5.3.6. Decisions are adopted if voted for by the majority of present participants. For amending the Statute or termination, a 3/4 majority is required. A 3/4 majority is also needed to alienate property amounting to 50% or more of the Organization's property.
5.3.7. The meeting is chaired by a person elected by the Assembly. The course is recorded by an elected secretary and signed by the Chairman and secretary.
5.3.8. Decisions become binding and enter into force upon adoption unless specified otherwise.
5.4. The Head of the Organization is the governing body between General Assemblies, elected for 3 years, and manages current activities.
5.4.1. The Head organizes the implementation of Assembly decisions and acts on behalf of the Organization.
5.4.2. Job duties are approved by the General Assembly. The Head is accountable to the Assembly and reports to the members.
5.4.4. The competence of the Head includes:
5.4.4.1. Organizing the execution of Assembly decisions.
5.4.4.2. Convening Assemblies, forming the agenda, and preparing materials.
5.4.4.3. Preparing recommendations for the Assembly regarding main activities.
5.4.4.4. Approving current activity plans.
5.4.4.5. Exercising certain property management functions decided by the Assembly.
5.4.4.6. Preparing annual reports and submitting them to the Assembly.
5.4.4.7. Resolving other issues not belonging to the exclusive competence of the Assembly.
5.4.5. All issues within the Head's competence are resolved solely.
5.5.1. The Head:
5.5.1.1. Acts on behalf of the Organization without a power of attorney.
5.5.1.2. Issues orders and internal documents.
5.5.1.3. Organizes document flow, accounting, and reporting.
5.5.1.4. Hires, transfers, suspends, and dismisses employees.
5.5.1.5. Acts as the manager of funds and property, signs contracts, and issues powers of attorney.
5.5.1.7. Resolves other operational issues.
5.5.2. The Head's decisions are formalized as orders.
5.5.3. Reporting is done at regular Assemblies, or extraordinarily upon the demand of at least 1/3 of members.
5.5.5. The Head can be recalled before the term ends if: they resign voluntarily; repeatedly violate the Statute; or cause material/moral damage to the Organization.
5.5.5. If the Head cannot perform duties for more than 6 months, an Extraordinary Assembly is convened.
6. SUPERVISORY BOARD
6.1. The Supervisory Board is an advisory and controlling body that audits financial and economic activities if there are more than 10 members.
6.2. It is accountable only to the General Assembly.
6.3. The personal composition is approved by the Assembly. A member of the Board cannot simultaneously be the Head.
6.4. It is elected for 2 years, consisting of a chairman and two members.
6.5. Powers include: making proposals on financial activities; preparing conclusions on finances before Assembly approval; conducting audits; submitting audit reports to the Assembly; initiating Extraordinary Assemblies; approving its annual plan.
6.6. The Chairman of the Board manages its work, convenes meetings, and signs documentation.
6.7. The Board is authorized if a majority of its members participate. Decisions are made by a majority vote of those present. The Chairman's vote is decisive in case of a tie.
7. PROCEDURE FOR APPEALING DECISIONS, ACTIONS, INACTION OF GOVERNING BODIES
7.1. Decisions and actions of governing bodies may be appealed by members.
7.1.1. A primary complaint against the Head is submitted to the General Assembly, which must consider it with the complaining member and the Head present.
7.1.2. A complaint against the General Assembly is submitted to the court according to the law.
7.2. Appealable decisions/actions include those resulting in:
7.2.1. Violation of rights and/or legitimate interests of a member.
7.2.2. Creation of obstacles to exercising a member's rights.
7.2.3. Illegal imposition of duties or disciplinary liability on a member.
8. INTERNATIONAL COOPERATION
8.1. The Organization has the right to carry out international relations and activities according to this Statute and Ukrainian law.
8.2. International activity is carried out through participation in international projects and organizations, not contradicting Ukrainian law and international law.
8.3. The Organization uses the full scope of a legal entity's rights in international activities.
8.4. The Organization: organizes exchange delegations, tournaments, and conferences with foreign partners; conducts joint research; and implements other joint programs and projects.
9. SEPARATE SUBDIVISIONS OF THE ORGANIZATION
9.1. The Organization may have separate subdivisions that are not legal entities, formed by the General Assembly's decision.
9.2. They are guided by the Organization's Statute.
9.3. Heads of subdivisions are appointed by the General Assembly for 2 years and act by power of attorney. They must be members.
9.4. Subdivisions have powers to represent the Organization and implement statutory tasks within their territory, and attract new members.
9.5. The head of a subdivision has the right to: decide on using the Organization's name and symbols; request help from governing bodies; attend Organization meetings (without voting rights); and submit petitions.
9.6. The head must: comply with the Statute; execute lawful decisions of governing bodies; and prevent actions violating the honor of members.
9.7. The activities of a subdivision can be terminated by its closure by the Assembly's decision.
9.8. The Organization notifies the state registration authority about the closure.
9.9. Property and funds assigned to the subdivision are transferred to the Head's management until the Assembly decides on their distribution.
10. FUNDS AND PROPERTY OF THE ORGANIZATION
10.1. The Organization is non-entrepreneurial. To implement its goals, it may own funds, securities, property rights, assets, equipment, and vehicles.
10.2. The Organization independently exercises rights of possession, use, and disposal of its property through statutory bodies.
10.3. The property consists of funds received as donations, membership fees, passive income, state subsidies, grants, and income from entrepreneurial activities or other lawful grounds.
10.4. Income (profits) are not subject to distribution among founders, members, employees (except for wages), or governing body members.
10.5. Income is used exclusively to finance maintenance costs and implement statutory goals.
10.6. The Organization is liable for its obligations with all its property. It is not liable for members' obligations, and members are not liable for the Organization's obligations.
10.7. The Organization must maintain accounting, statistical, and tax reporting, be registered with fiscal authorities, and pay taxes. Accounting documents must be kept for at least 5 years.
10.8. State supervision and control over the Organization's compliance with the law are carried out by executive and local authorities.
11. PROCEDURE FOR AMENDING THE STATUTE
11.1. The procedure for amending the Statute is determined by the Statute and Ukrainian law.
11.2. Amendments are approved by the General Assembly if at least 3/4 of present members vote for it. The registration authority is notified of the changes.
12. TERMINATION OF THE ORGANIZATION'S ACTIVITIES
12.1. Termination of activities is carried out by the Assembly's decision (self-dissolution or reorganization) or by court decision.
12.2. Termination of a public association with legal entity status results in the termination of the legal entity.
12.3. The Organization may decide to terminate its activities at any time.
12.4. The decision on self-dissolution is adopted by the General Assembly if at least 3/4 of present participants vote for it. The Assembly creates a liquidation commission to handle the termination and decides on the use of funds and property.
12.5. Reorganization is carried out by the Assembly's decision (at least 3/4 of votes) through merger, division, accession, or transformation.
12.6. The procedure and legal consequences of termination are determined according to this Statute and Ukrainian law.
12.7. In the event of termination (liquidation or reorganization), assets must be transferred to one or more non-profit organizations of the corresponding type or credited to the state budget.
